Terms & Conditions

1. Acceptance of Terms
 

By accessing or using the services provided by GADS Technical Consultant Services Inc. (“we”, “us”, “our”), you (“Client”, “you”) agree to be bound by these Terms and Conditions, our Privacy Policy, and any applicable service agreements.
If you do not agree to these terms, you must not use our services.
 

2. Services Provided
 

GADS Technical Consultant Services Inc. offers technical consulting, Google Ads management, digital marketing optimization, and related advisory services.
All services are provided under a written agreement, email confirmation, or online order form outlining the scope of work, fees, and timelines.

We reserve the right to modify, suspend, or discontinue services at any time, with or without prior notice, subject to applicable Canadian consumer laws.
 

3. Fees and Payments
 

  • All fees are quoted in Canadian Dollars (CAD) unless otherwise stated.

  • Payments are due as per the invoice terms or service agreement.

  • Late payments may incur a 2% monthly interest charge or the maximum allowed under provincial law.

  • We accept payments via bank transfer, credit/debit card, or e-transfer.

  • Third-party advertising costs (e.g., Google Ads spend) are billed separately and are non-refundable.

Failure to make timely payments may result in service suspension until outstanding balances are cleared.
 

4. Refund Policy
 

Refunds are governed by our Refund Policy, which states that refunds may only be issued for unrendered or duplicate services.
Once work has commenced or deliverables have been provided, no refunds will be given.
 

5. Client Responsibilities
 

You agree to:

  • Provide accurate and complete information required to deliver the service.

  • Comply with all applicable Canadian federal and provincial laws, including advertising and data protection laws.

  • Obtain necessary authorizations or permissions for any materials or content you provide.

We are not liable for delays or issues caused by inaccurate, incomplete, or delayed client information.
 

6. Confidentiality
 

Both parties agree to maintain strict confidentiality of all proprietary or personal information shared during the course of business.
GADS Technical Consultant Services Inc. adheres to the Personal Information Protection and Electronic Documents Act (PIPEDA) and other relevant privacy laws in Canada.
 

7. Intellectual Property
 

All materials, strategies, reports, or deliverables created by us remain our intellectual property until full payment is received.
Upon full payment, you receive a non-exclusive, non-transferable license to use the deliverables for your business purposes.

You may not copy, modify, or redistribute any materials without written consent.
 

8. Limitation of Liability
 

To the fullest extent permitted by Canadian law:

  • We are not liable for any indirect, incidental, or consequential damages, including lost profits or business interruption.

  • Our total liability for any claim arising from services shall not exceed the total fees paid by you in the last 30 days prior to the claim.
     

9. Third-Party Tools and Services
 

We may use third-party tools (e.g., Google Ads, analytics software) in the course of service delivery.
We are not responsible for downtime, errors, or issues resulting from third-party platforms.

Your use of these tools is subject to the respective third-party’s terms and policies.

10. Termination

​

Either party may terminate the agreement with written notice of 7 business days.
We may terminate service immediately in cases of:

  • Non-payment

  • Breach of these Terms

  • Illegal or unethical activities related to the services

Outstanding payments remain due even after termination.

11. Governing Law

​

These Terms are governed by and construed in accordance with the laws of Canada and the province of Ontario (or your local province if otherwise agreed in contract).
Any disputes shall be resolved exclusively in the courts of Ontario, Canada.

12. Indemnification

​

You agree to indemnify and hold harmless GADS Technical Consultant Services Inc., its directors, and employees from any claims, damages, or liabilities arising from your use of our services, breach of these terms, or violation of applicable laws.

 

13. Changes to Terms

​

We reserve the right to modify these Terms at any time.
Updates will be posted on our official website, and continued use of our services constitutes acceptance of the revised Terms.
